2000 S40 p0240 and p0128

I have replaced the thermostat and collant temp sensor, as well as the
lower O2 sensor but the CUL and the errors remain and I can't clear
the errors wiy my OBDII. The car has about 110k could the catalitic
converter be bad already?

Anyone have any other things that I need to chack or replace.

This is my niece's care and it's due for state inspection in NC and
the CEL can't be on to pass the OBDII check.
