I have a 1989 Ford Crown Victoria - 5.0 fuel injected V8 - automatic
overdrive.

Two things possibly related. First, the transmission shifts fine from 1st.
gear through 4th. (or overdrive) but while in overdrive, if I give the car
a little gas, the transmission slips out of overdrive. The engine races and
the car does not increase speed. If I back off the gas and simply "coast"
the transmission will then sync with the driveshaft and seem to want to
"keep" speed. It doesn't really keep speed however, and I can feel the
transmission lock back in. Any applied engine power in overdrive and I hear
a slight noise and then the car acts as if I'm in neutral. If I put the
transmission in drive (not overdrive) everything is fine. It shifts smooth
and stays locked in. What's up with this?

Second, the engine seems to want to stall or bog down at around 25mph
through 35mph. From a complete stop, I give the car gas and it gets up
quick. Then at around 25mph, it (sometimes, not all the time) acts as if
it's getting too much gas and looses power. If I take my time and coax the
gas pedal and try to simply keep up with the engine, I can get it up to
around 35mph and then it takes off full power again. This does not happen
all the time but most times. Sometimes it runs full power all the way
through the speed-up and never does it any other time or speed, only around
25 - 35mph.

Could this be transmission related? Why does this happen sometimes and not
all the time? I can't seem to lock it down to something particular. The
engine is not overheating. It does this day or night.

Please help with your suggestions or comments. I'm really in a tight spot
with this car right now and need to get some answers.

I'd start with checking the torque convertor. Sounds like a sprague clutch
problem but I'd need to drive it to be sure of where I really want to start.

its that the torqe convertor is bad i try replaceing the torque it cost
about 75.00 for a new one
